OVERVIEW

Welcome to CozyCrafts Australia ("CozyCrafts", "we", "us", "our"). We operate this online store and website, including all related information, content, features, tools, products and services (collectively, the "Services").

Our store is powered by Shopify, which provides the ecommerce platform that allows us to sell our products and services to you.

These Terms of Service (the "Terms"), together with any policies referenced here (including our Privacy Policy and Refund Policy), describe your rights and responsibilities when you use our Services.

By visiting, browsing or using any part of the Services, including placing an order, you agree to be bound by these Terms of Service and our Privacy Policy [LINK]. If you do not agree with these Terms or the Privacy Policy, you must not use or access the Services.

SECTION 1 – ACCESS AND ACCOUNT

By agreeing to these Terms of Service, you represent that:

  • You are at least the age of majority in your state, territory or province of residence; or

  • You are using the Services under the supervision and with the consent of a parent or legal guardian.

To use the Services, including browsing our store or purchasing products, you may be asked to provide certain information such as your name, email address, billing details, payment information and shipping address.

You represent and warrant that:

  • All information you submit is true, accurate, current and complete; and

  • You have the authority to provide that information and to use the chosen payment method.

You are responsible for maintaining the confidentiality of your account details (including any passwords) and for all activities that occur under your account. You must not transfer, sell, assign or license your account to any other person.

SECTION 2 – OUR PRODUCTS

We make every reasonable effort to display our products accurately in our online store. However, please note:

  • Colours and appearance may vary slightly due to your device, screen settings, lighting and printing process;

  • Product photos and mockups are illustrative only.

We do not guarantee that the appearance or quality of any products or services will perfectly match images or previews shown on the site or match your expectations.

All product descriptions, prices and availability are subject to change at any time without notice, at our sole discretion. We reserve the right to:

  • Discontinue or modify any product at any time; and

  • Limit quantities of any products or Services to any person, household, geographic region or jurisdiction.

SECTION 3 – ORDERS

When you place an order through our store, you are making an offer to purchase the products in your cart.

We reserve the right, in our sole discretion, to:

  • Accept or decline any order;

  • Cancel or limit quantities on any order; or

  • Refuse service to anyone for any reason, subject to applicable law.

Your order is considered accepted once we have:

  1. Received and processed your payment; and

  2. Sent you an order confirmation email.

Please review your order carefully before submitting. Because many of our items are custom made, we may not be able to accommodate cancellation or change requests once an order has been accepted and entered production.

If we are unable to accept or must cancel your order (for example, due to stock issues, suspected fraud or an error in pricing), we will attempt to contact you using the email, billing address and/or phone number provided at checkout.

All purchases are subject to our Refund Policy [LINK].

You represent and warrant that your purchases are for personal, household or gift use and not for commercial resale or export.

SECTION 4 – PRICES AND BILLING

All prices displayed in our store are shown in Australian dollars (AUD) unless otherwise stated.

  • Prices, discounts and promotions are subject to change without notice.

  • The price charged for a product or service will be the price in effect at the time your order is placed and will be set out in your order confirmation email.

  • Unless stated otherwise, posted prices do not include shipping, handling, or any applicable taxes or duties.

From time to time we may run promotions or special offers. These may have separate terms and conditions which will apply in addition to these Terms. If there is a conflict between promotion terms and these Terms, the promotion terms will govern for that specific offer.

You agree to provide current, complete and accurate purchase and account information for all purchases made at our store, and to promptly update your details (including email address and payment details) so we can complete your transactions and contact you as needed.

By submitting payment details, you represent and warrant that:

  1. The payment information you provide is true, correct and complete;

  2. You are authorised to use the payment method provided;

  3. Charges incurred by you will be honoured by your payment provider; and

  4. You will pay all charges incurred at the posted prices, including any shipping, handling and applicable taxes.

SECTION 5 – SHIPPING AND DELIVERY

We pack and send orders with care, but some aspects of shipping are outside our control.

  • All delivery times provided are estimates only and are not guaranteed.

  • We are not liable for delays caused by shipping carriers, customs, incorrect addresses supplied by you, or events outside our reasonable control (for example, strikes, weather or public holidays).

Once we hand your parcel to the carrier, title and risk of loss passes to you.

SECTION 6 – INTELLECTUAL PROPERTY

The Services, including but not limited to all trademarks, brands, text, designs, layout, graphics, images, photos, video, audio, product descriptions, reviews and other content, and the design, selection and arrangement thereof, are owned by CozyCrafts Australia, our affiliates or our licensors and are protected by applicable intellectual property laws.

You may use the Services for personal, non‑commercial purposes only. You must not:

  • Reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store or transmit any material from the Services; or

  • Exploit any part of the Services for commercial purposes;

without our prior written permission, except as permitted by law.

Except as expressly provided in these Terms, nothing grants you any licence or right under any patent, trademark, copyright or other intellectual property belonging to CozyCrafts Australia, Shopify or any third party. All rights not expressly granted are reserved.

The names, logos, product and service names, designs and slogans of CozyCrafts Australia are trademarks of CozyCrafts Australia or its affiliates or licensors. Shopify’s names and logos are trademarks of Shopify Inc. All other names, logos and designs on the Services are trademarks of their respective owners.

SECTION 7 – OPTIONAL TOOLS

We may provide you with access to tools or features provided by third parties (for example, review widgets, design or upload tools, or social media integrations).

You acknowledge and agree that:

  • These tools are provided “as is” and “as available” without any warranties, representations or conditions of any kind;

  • We do not monitor, control or have input into these tools; and

  • We shall have no liability whatsoever arising from or relating to your use of these optional tools.

Any use of optional tools is entirely at your own risk and discretion. You should ensure that you are familiar with and agree to the terms on which such tools are provided by the relevant third‑party provider(s).

Any new features or tools that we introduce through the Services will also be subject to these Terms of Service unless stated otherwise.

SECTION 8 – THIRD‑PARTY LINKS

Our Services may contain links to, or content from, third‑party websites, apps or services.

We do not control and are not responsible for:

  • The content, accuracy or policies of any third‑party sites; or

  • Any products, services, resources or content available through such sites.

If you choose to access third‑party websites or services, you do so at your own risk. We recommend that you carefully review the terms and privacy policies of any third‑party site before engaging in any transaction.

Any complaints, claims, concerns or questions regarding third‑party products or services should be directed to the relevant third party.

SECTION 9 – RELATIONSHIP WITH SHOPIFY

CozyCrafts Australia is powered by Shopify, which enables us to provide the Services to you. However, any sales and purchases you make in our Store are made directly with CozyCrafts Australia. By using the Services, you acknowledge and agree that Shopify is not responsible for any aspect of any sales between you and CozyCrafts Australia, including any injury, damage, or loss resulting from purchased products and services. You hereby expressly release Shopify and its affiliates from all claims, damages, and liabilities arising from or related to your purchases and transactions with CozyCrafts Australia.

SECTION 10 – PRIVACY POLICY

All personal information we collect through the Services is subject to our Privacy Policy, which can be viewed here: [LINK]. Some personal information is also subject to Shopify’s Privacy Policy, which can be viewed on Shopify’s website.

Because the Services are hosted by Shopify, Shopify collects and processes certain information about your access to and use of the Services in order to provide and improve the platform. Information you submit to the Services will be transmitted to and shared with Shopify and other service providers (which may be located outside Australia) in order to operate the store and deliver services to you.

If you submit, upload, post, email or otherwise transmit any ideas, suggestions, feedback, reviews, proposals, photos (other than those used solely for your order), or other content (collectively, "Feedback"), you grant us a perpetual, worldwide, sublicensable, royalty‑free licence to use, reproduce, modify, publish, distribute and display such Feedback in any medium for any lawful purpose, including commercial use.

We may use this licence, for example, to:

You represent and warrant that:

We are under no obligation to:

  • Maintain any Feedback in confidence;

  • Pay compensation for any Feedback; or

  • Respond to any Feedback.

We may, but are not required to, monitor, edit or remove Feedback that we determine in our sole discretion is unlawful, offensive, threatening, libellous, defamatory, pornographic, obscene, otherwise objectionable, or infringes any party’s rights or these Terms of Service.

You agree that your Feedback will not:

  • Infringe any third‑party rights (including copyright, trademark, privacy or other proprietary rights);

  • Contain unlawful, abusive or obscene material; or

  • Contain any virus or other malware that could affect the operation of the Services or any related website.

You must not use a false email address, pretend to be someone other than yourself, or mislead us or any third party as to the origin of any Feedback. You are solely responsible for any Feedback you submit and its accuracy.

SECTION 12 – ERRORS, INACCURACIES AND OMISSIONS

Occasionally, there may be information on our site or in the Services that contains typographical errors, inaccuracies or omissions, including in relation to product descriptions, pricing, promotions, offers, shipping charges, transit times and availability.

  • Cancel orders if any information is inaccurate.

We do not undertake to update, amend or clarify information in the Services or any related website except as required by law.

You also agree not to:

  • Upload or transmit any virus or malicious code;

  • Reproduce, duplicate, copy, sell, resell or exploit any portion of the Services without our express written permission;

  • Collect or track the personal information of others without their consent;

  • Spam, phish, pharm, pretext, spider, crawl or scrape the Services; or

  • Interfere with or circumvent the security features of the Services or any related website.

We may, in our sole discretion, suspend or terminate your access to the Services at any time and without notice if we believe you have breached these Terms.

We may terminate or suspend your access to the Services (or any part of them) at any time, without notice, for any reason, including if we believe you have breached these Terms.

You will remain liable for all amounts due up to and including the date of termination.

Sections that by their nature should survive termination will remain in effect, including but not limited to: Intellectual Property, Feedback, Disclaimer of Warranties, Limitation of Liability, Indemnification, Severability, Waiver; Entire Agreement, Assignment, Governing Law, Privacy Policy and any other provisions that reasonably should survive termination.

The information presented on or through the Services is provided for general information purposes only. We do not warrant the accuracy, completeness or usefulness of this information.

Your use of the Services and any products or services obtained through the Services is at your sole risk.

Except as expressly stated by CozyCrafts Australia, the Services and all products offered through the Services are provided "as is" and "as available", without any representations, warranties or conditions of any kind, either express or implied, including implied warranties or conditions of merchantability, fitness for a particular purpose, durability, title and non‑infringement.

We do not guarantee, represent or warrant that your use of the Services will be uninterrupted, timely, secure or error‑free.

Some jurisdictions do not allow limitations on implied warranties, so some or all of the above limitations may not apply to you to the extent prohibited by law.

SECTION 16 – LIMITATION OF LIABILITY

To the fullest extent permitted by law, in no case shall CozyCrafts Australia, our directors, officers, employees, affiliates, agents, contractors, service providers, licensors, or Shopify and its affiliates, be liable for any:

  • Indirect, incidental, special, consequential or punitive damages; or

  • Loss of profits, revenue, savings, data, goodwill or replacement costs;

arising out of or related to your use of the Services or any products purchased via the Services, even if we have been advised of the possibility of such damages.

To the extent permitted by law, our total aggregate liability to you for any claims arising out of or related to the Services or any products shall be limited to the amount you actually paid for the product or service giving rise to the claim.

Nothing in these Terms is intended to exclude, restrict or modify any non‑excludable rights or remedies you may have under the Australian Consumer Law or other applicable laws.

SECTION 17 – INDEMNIFICATION

You agree to indemnify, defend and hold harmless CozyCrafts Australia, Shopify and our respective affiliates, officers, directors, employees, agents, contractors, licensors and service providers from any losses, damages, liabilities, claims or expenses (including reasonable legal fees) arising out of or related to:

  1. Your breach of these Terms of Service or any documents they incorporate by reference;

  2. Your violation of any law or the rights of a third party; or

  3. Your access to or use of the Services.

We will notify you of any claim subject to indemnification, provided that our failure to promptly notify you will not relieve you of your obligations except to the extent you are materially prejudiced. We may control the defence and settlement of such claims at your expense, but will not settle any claim requiring non‑monetary obligations from you without your consent (not to be unreasonably withheld). You agree to cooperate with us in the defence of any indemnified claim.

SECTION 18 – SEVERABILITY

If any provision of these Terms of Service is determined to be unlawful, void or unenforceable, that provision shall be enforced to the fullest extent permitted by law and the unenforceable portion shall be deemed severed from these Terms. This determination shall not affect the validity and enforceability of any other remaining provisions.

SECTION 19 – WAIVER; ENTIRE AGREEMENT

Our failure to exercise or enforce any right or provision of these Terms of Service shall not constitute a waiver of that right or provision.

These Terms of Service, together with any policies or rules posted by us on the site or in respect to the Services, constitute the entire agreement and understanding between you and us and govern your use of the Services, superseding any prior or contemporaneous agreements, communications and proposals, whether oral or written.

Any ambiguities in the interpretation of these Terms of Service shall not be construed against the drafting party.

SECTION 20 – ASSIGNMENT

You may not assign, transfer or delegate these Terms of Service or any rights or obligations under them without our prior written consent. Any attempt to do so without consent is void.

We may assign, transfer or delegate these Terms, in whole or in part, at any time without notice, including to a successor in interest, affiliate or purchaser of our business or assets.

SECTION 21 – GOVERNING LAW

These Terms of Service and any separate agreements whereby we provide you Services shall be governed by and construed in accordance with the laws of Victoria, Australia, and the federal laws of Australia, without giving effect to any choice or conflict of law rules.

You and CozyCrafts Australia agree to submit to the non‑exclusive jurisdiction of the courts of Victoria, Australia in respect of any dispute arising under or in connection with these Terms or the Services.
